For purposes of calculating the quarterly advisory fee, the market valuation will be based on all assets in the account, including cash. Market valuation will be determined based on prices provided by the Custodian for the last trading day of the quarter. In the event the Custodian is not able to provide prices, Bassi Investments will value the assets using pricing provided by a nationally-recognized third-party pricing organization. The advisory fee for the period from the date of the signing of the investor agreement to the end of such quarter shall be prorated according to the proportion that such period bears to the full quarterly period. Upon any termination of this Agreement before the end of a calendar quarter, the fee for such part of the calendar quarter that the assets remain under management shall be prorated according to the proportion that such period bears to the full calendar quarter period. If the Client withdraws substantial assets during the quarter, Bassi Investments may at its discretion charge a fee based on the average market value for the quarter. It is further agreed by and between the parties hereto that the Client will bear the cost of all securities purchased for the Client as well as taxes, interest (if any), brokerage fees and commissions and custodian charges (if any).

Custodial Fee Structure:
The custodial fee for holding an account at FOLIOfn (the designated custodian for Bassi Investments accounts) is as follows:
